TERMS AND CONDITIONS OF USE FOR WALTERSMITH VENDOR REGISTRATION PORTAL Waltersmith Petroman Oil Limited (“WALTERSMITH”) maintains this Vendor Registration Portal (the “Portal”) for the procurement of suppliers for different commercial and technical services. By using the Portal, you have agreed to strictly comply with and be bound by the following Terms and Conditions of Use as set out below. Please read the following Terms and Conditions of Use carefully, and if you do not agree with these terms, you are not considered a User, and you are prohibited from using this Portal.

1. ACCEPTANCE OF TERMS AND CONDITIONS OF USE Accepting these Terms and Conditions of Use establishes a legal obligation with the User. It expresses the User’s agreement with all the terms in this Terms and Conditions of Use and the version published on the Portal. Thus, upon connecting to the Portal, the User states beforehand and irrevocably that he has read, understood, and especially that he accepts all the terms.

2. RESTRICTIONS ON USE No part of any content, form or document may be reproduced, represented, copied, duplicated, distributed, disclosed, or published in any form or incorporated into any information, study, data, retrieval system, electronic or mechanical, without Waltersmith’s written consent.

3. SECURITY OF ACCOUNTS The Portal has a registration procedure. This is critical for the creation of company accounts. The User is responsible for maintaining the confidentiality of the password, the integrity of the account and all activities that occur under the account. It is also the User’s responsibility to notify Waltersmith of any unauthorized use of its account or any other security breach as soon as it is noticed. Waltersmith will not be liable for any loss that may be incurred due to someone else using your password or account, either with or without your knowledge. However, you could be held liable and punishable under applicable laws for losses incurred by Waltersmith or another party due to someone else using your account or password.

4. NON-TRANSFERABLE AND NON-ASSIGNABLE The right to use the Portal and the information contained therein shall not be transferred or assigned to any person, company, partner, institution, entity or another third party whatsoever. Any password or other form of access given to you as a User of the Portal to obtain information or documents shall not be transferred or assigned whatsoever (either wholly or partially). 

5. INTELLECTUAL RIGHTS The content, organization, graphics, design, compilation, magnetic translation, digital conversion, and other matters related to the Portal are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights (registered or unregistered). The copying, production, redistribution, use, publication, or any form of disclosure of any content (in whole or in part) or other matters in connection therewith or any part or portion of the Portal is strictly prohibited. The use of the Portal shall not in any way confer any ownership right (legally or equitable) or license to any content, document, information, data, organization, graphics, design, compilation, magnetic translation, digital conversion or other materials viewed through the Portal.

6. LINKS TO THIRD PARTY SITES The Portal may contain links to third party sites. These links are provided to help you find relevant websites, services, and/or products that may interest you quickly and easily. It is your responsibility to decide whether any services and/or products available through any of these websites are suitable for your purposes. Waltersmith is not responsible for the owners or operators of these websites or for any goods or services they supply or for the content of their websites and does not give or enter into any conditions, warranties or other terms or representations in relation to any of these or accept any liability in relation to any of these.

7. CONFIDENTIALITY Waltersmith is committed to ensuring the confidentiality of matters connected to the Portal. Each User undertakes to treat such information as strictly confidential and only communicate or disclose any part of such information to those permitted persons on a ‘need to know’ basis who have a duty to have access to or knowledge of the confidential information.

8. LIMITATION OF LIABILITY Waltersmith tries to ensure that all information provided as part of this Portal is correct at the time of inclusion on the Portal but does not guarantee the accuracy of such information. Waltersmith is not liable for any action you may take as a result of relying on such information or advice or for any loss or damage suffered by you as a result of you taking this action. TO THE EXTENT ALLOWABLE BY APPLICABLE LAW, WALTERSMITH AND ITS AFFILIATES, SUBSIDIARIES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS ARE NOT LIABLE TO ANY USER FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WALTERSMITH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), HOWEVER CAUSED, WHETHER IN CONTRACT, TORT OR OTHERWISE, ARISING OUT OF OR RESULTING FROM: i. THE USE OR THE INABILITY TO USE THE PORTAL; ii. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; iii. CONDUCT OF ANY THIRD PARTY ON THE PORTAL; OR iv. ANY OTHER MATTER RELATING TO THE PORTAL.

9. INDEMNITY The User hereby agrees to indemnify, defend and hold harmless Waltersmith, its directors, employees, representatives, subsidiaries, partners, agents, including attorneys, product and service providers from and against any liability, loss, claim, cost and expense, including reasonable attorney’s fees, in relation to any violation of the Terms and Conditions of Use stipulated herein. 

10. APPLICABLE LAW The use of this Portal and these Terms and Conditions of Use shall be subject to the laws of the Federal Republic of Nigeria, which shall exclusively govern the interpretation, application, enforcement, and effect of all the Terms and Conditions of Use.

11. TERMINATION Waltersmith may, in its sole discretion, at any time discontinue providing or limit access to the Portal. If a User is in material breach of the Terms and Conditions of Use, Waltersmith may, at its sole discretion, suspend or terminate User’s account, delete User’s content from the Portal, and refuse User any current or future use of any Waltersmith website without notice. Waltersmith shall not be liable to User or any third party for any such suspension or termination.

12. ENTIRE AGREEMENT This Terms and Conditions of Use shall constitute the entire and only agreement between Waltersmith and User and shall supersede all prior or contemporaneous agreements, arrangements, undertaking, representations, warranties and understandings with respect to the Portal, the content, products or services provided by or through the Portal, and the subject matter of the Terms and Conditions of Use.
